Eight duties of the Company Secretary are listed in Rule 10 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014. They are listed as follows:
(1) to offer the company's directors, collectively and individually, such guidance they may require regarding their roles, responsibilities, and powers;
(2) to promote meeting convening, attend Board, committee, and general meetings, and keep meeting minutes;
(3) to acquire permissions from the Board, general meeting, government, and any other authority required under the Act;
(4) to represent the Act before various regulators and other authorities in connection with the fulfillment of certain Act tasks;
(5) to support the Board in the management of the company's operations;
(6) to support and advise the Board on corporate governance and compliance with corporate governance laws and best practices; and
(7) to carry out any other obligations imposed by the Act or the rules; and
(8) any other duties delegated by the Board from time to time
