What is an LLC Registration?

The full form of an LLC is Limited Liability Company. It is a business structure that began in the USA and later spread to the UAE, parts of Europe, and other markets. An LLC blends the features of a partnership firm and a company.

In India, people usually use "LLC" to mean a Private Limited Company or an LLP. The US-style LLC isn't a separate entity type here, but these two structures give you the same limited liability protection.

Features of an LLC

An LLC borrows the best features of both a partnership & a company:

  • Limited liability: Members risk only the capital they invest. Personal assets stay protected.
  • Flexible management: Members or the appointed managers run the business. No mandatory board or rigid hierarchy is needed.
  • Separate legal entity: The LLC owns property, signs contracts, sues, and gets sued in its own name.
  • Pass-through taxation (in the US): Profits get transferred to members, who pay tax individually.

Can You Register an LLC in India?

The direct answer would be no, you cannot register an LLC in India. When you set out to register an LLC here, you actually register a Private Limited Company or an LLP. Indian law works with these structures in place of the US-style LLC, so the MCA issues you a Certificate of Incorporation rather than an LLC certificate of formation, with the same limited liability either way.

In the USA, founders register an LLC with a state authority (Delaware, Wyoming, and Texas remain popular) and receive an LLC certificate of formation. In the UAE, an LLC remains the default mainland structure for trading and services businesses. Several other countries recognize similar hybrid vehicles. So, to get an LLC in India, you simply register an LLP or a Private Limited Company and receive a Certificate of Incorporation for it.

Who Can Register an LLC Business and What are the Requirements?

Selection for who can register depends upon where you have a presence, instead of who is allowed to start the LLC company. An LLC structure is allowed in these three countries with these eligibility requirements:

1. United States

  • Any individual, of any nationality, from anywhere can register. There is no citizenship, residency, visa, or green card requirement to own a US LLC.
  • Single-member LLCs are allowed in all 50 states. One person can be the sole owner and sole manager.
  • The minimum age needed is 18 in most states.
  • A registered agent with a physical street address for office space in the state of formation is mandatory. A PO box won't suffice, and the agent's address becomes public record in most states.
  • An overseas parent company can hold 100% of a US LLC. This is the standard route for foreign groups entering the US market.

Who cannot use a standard LLC: Banks, insurance carriers, and (in many states) licensed professionals, such as doctors, lawyers, architects, and accountants, are instead required to form a Professional LLC (PLLC) with licensed members only. A few states, California most notably, do not permit professional services through an LLC at all. Such entities should instead opt for other USA company registration services.

2. United Arab Emirates

  • Any nationality can own a UAE LLC outright. Since Federal Decree-Law No. 32 of 2021 took effect, 100% foreign ownership is permitted across the large majority of mainland commercial and professional activities.
  • The LLC can have between 1 and 50 shareholders. A single-owner LLC is valid.
  • Corporate shareholders are permitted, provided the parent company's constitutional documents are legalized and translated into Arabic.
  • A manager must be appointed and named on the licence. The manager can be a shareholder or an external appointee, and is the person whose signature binds the company.
  • In practice, shareholders should be 21 or over, since the licence, establishment card, and investor visa are processed together.

Founders also get the FZ alternative, like registering as a Dubai Free Zone Company. An FZ-LLC or FZE in one of the 45+ UAE free zones gives the same limited liability and 100% ownership, with faster setup and lower entry cost. However, you cannot sell directly into the UAE mainland market without a distributor or a mainland branch.

Documents Required for LLC Company Registration

The following documents are to be prepared if you wish to get Limited Liability Company Registration in different jurisdictions:

United States

For US residents

  • Government-issued photo ID (driver's licence or passport)
  • Social Security Number or ITIN (for the EIN application and tax filings)
  • Residential or business address for the members and organiser
  • Registered agent name, in-state street address, and consent

For non-residents

  • Passport copy for every member and manager
  • Overseas residential address proof (utility bill, bank statement, or driving licence)
  • No SSN is needed to form the LLC or to obtain an EIN. The responsible party applies on Form SS-4 by fax or mail instead of online; expect several weeks rather than minutes.
  • ITIN, if you will personally file a US tax return
  • Certified copies of the formation documents and the EIN confirmation letter (CP 575)

Documents produced during formation

  • Articles of Organization (called a Certificate of Formation in Delaware, Texas, and Washington)
  • Operating Agreement — signed internally, not filed with the state, but required by nearly every bank
  • EIN confirmation letter from the IRS
  • Beneficial ownership records (see the compliance section for who currently has to file)

United Arab Emirates

For individual shareholders and the manager

  • Passport copy, valid for at least six months
  • UAE entry stamp or visit-visa page for non-residents; Emirates ID and residence visa for those already in the country
  • Passport-size photographs against a white background
  • Proof of address in the home country
  • CV or degree certificate, where the activity is a professional one (consultancy, engineering, medical)

For corporate shareholders

  • Certificate of Incorporation, Memorandum and Articles of Association
  • Board resolution approving the UAE incorporation and appointing a signatory
  • Power of Attorney in favour of the UAE representative
  • Certificate of Good Standing or incumbency

Note: This list includes the same Limited Liability Company formation documents you would prepare anywhere. India simply calls them by different names.

Step-by-Step Process for LLC Registration

The entire LLC registration process includes:

Step 1: Choose Where to Register

Form where you actually want to operate. Whether it's the state or emirate, the rules and costs may differ. Ensure you have the registered office fixed in the chosen location.

Step 2: Fix the Business Activity

The decision for business activity selection helps decide license type, fee bracket, external approvals, and visa quota needed. For the UAE, this also impacts whether a given free zone will accept you at all.

Step 3: Name Reservation

Search the Secretary of State's business database and check the USPTO trademark register. The name must include "LLC" or "Limited Liability Company" and must not imply a bank, insurer, or government agency.

No religious references, no names of governing authorities, nothing offensive. Using a personal name requires the full name rather than initials. The reservation is valid for a limited window only, so the rest of the file needs to be ready.

Step 4: Establish your Local Presence

Appoint a registered agent: a person or company with a physical street address in the state of LLC formation. Without a registered address, LLC formation doesn't get approved.

In India, LLC equivalents like Pvt Ltd & LLP also accept a virtual office.

Step 5: File the Constitutional Document

File the documents mentioned above, such as Articles of Organization, listing members or managers, the registered agent, and the business address. Approval usually take same-day to two weeks, depending on the state and whether you pay to expedite.

Step 6: Sign the Internal Governing Agreement

This step is specific to the USA. An operating agreement is the document that actually governs the company and includes details like capital contributions, profit splits, voting, transfer restrictions, and dissolution.

Overall, the LLC formation usually takes approximately 1 to 4 weeks in the USA and 3 to 15 days in the UAE, assuming documents are complete.

Can Foreign Entrepreneurs Register a Business in India?

India actively welcomes foreign entrepreneurs with an Indian equivalent of LLC formation. Foreign founders and overseas parents (including US LLCs) incorporate Indian subsidiaries every week. Five regulatory pillars govern the process:

  1. FDI policy: India permits 100% foreign direct investment under the automatic route in most sectors, meaning no prior government approval. Restricted sectors like defence, broadcasting, and multi-brand retail need government approval. Under Press Note 3, any investor from a country sharing a land border with India requires government approval regardless of sector.
  2. FEMA: The Foreign Exchange Management Act governs how capital enters and leaves India. Share subscription money must arrive through banking channels with a clear inward remittance advice and FIRC.
  3. RBI regulations: After allotting shares to a non-resident, the company files Form FC-GPR on the RBI's FIRMS portal within 30 days. In case the deadline is missed, late submission fees apply.
  4. Resident director requirement: Every Indian company must appoint at least one director who stayed in India for 182 days or more in the preceding financial year. This requirement cannot be waived. Foreign founders either appoint a trusted Indian co-founder or engage a nominee resident director.
  5. Authorized representative: An Indian resident with a PAN must sign the AGILE-PRO-S form as the authorized signatory for GST and EPFO registration.
