Terms of Use
1. Acceptance of the Terms
By accessing or using www.registerkaro.in ("Website") or any of our mobile/desktop applications, communication channels (including WhatsApp), or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). If you do not agree, please discontinue use immediately. These Terms form a legally binding agreement between you and RegisterKaro.
2. Definitions
- "Client", "you", "your": Any natural or legal person who accesses the Website or avails the Services.
- "Engagement": Any order, purchase, subscription, or request for Services placed with RegisterKaro.
- "Government Fees": Statutory charges, duties, or fees payable to any government, quasi-government, or regulatory authority (e.g., MCA fees, Stamp Duty).
- "Professionals": Chartered Accountants, Company Secretaries, Lawyers, or other independent third-party experts engaged to deliver parts of the Services.
- "Working Day": A day (other than a Saturday, Sunday or public holiday) on which banks are open for business in Bengaluru, India.
3. Nature of Services & No Legal Advice
- Facilitation Platform: RegisterKaro is a technology platform that connects Clients with qualified Professionals and simplifies business, tax, and compliance workflows. We are not a law firm or accounting firm, nor do we provide legal or financial advice.
- Information Only: All content on the Website is for general informational purposes only and must not be construed as professional advice. You should consult an independent advisor before acting on any information.
- No Attorney–Client Relationship: Your use of our Services does not create an attorney-client, accountant-client, or fiduciary relationship with RegisterKaro.
4. Eligibility & Client Responsibilities
- Eligibility: You must be at least 18 years of age and legally capable of entering into binding contracts under the Indian Contract Act, 1872.
- Accuracy of Information: You warrant that all information and documents you provide are true, complete, and up-to-date. RegisterKaro is not liable for any issues arising from inaccurate or incomplete information provided by you.
- Timely Cooperation: You agree to respond to our requests and provide necessary documents within the communicated timelines. Delays in your cooperation will extend service delivery timelines and may affect your eligibility for a refund.
- Communication Consent: You consent to being contacted by us via phone, email, SMS, WhatsApp, or other digital channels for service delivery, support, and important updates.
5. Ordering, Pricing & Payments
- Quotes & Orders: All price quotes are indicative until full payment is received and an Engagement is confirmed.
- Taxes & Government Fees: Prices displayed are exclusive of applicable taxes (like GST) and Government Fees, unless expressly stated otherwise. These will be added to your final bill.
- Payment Methods: We accept payments via RBI-compliant payment gateways, direct bank transfer, UPI, or other methods notified on the Website.
- Invoices: A tax invoice will be issued in the name provided at the time of placing the order.
6. Timelines & Service Delivery
- Indicative Timelines: All quoted timelines are best-effort estimates. They are not guaranteed and may vary due to dependencies on government portals, regulatory approvals, and client cooperation.
- Commencement of Work: For the purpose of our refund policy, work is considered "commenced" immediately after your payment is successfully processed and your Engagement is logged in our system for allocation to a service delivery team. This includes any internal preparatory work, resource assignment, or preliminary review of your requirements by the assigned team.
- Engagement on Hold / Abandonment: If you are unresponsive to our communications (email/phone/WhatsApp) for 15 calendar days after a written reminder, we reserve the right to place your Engagement "on hold". If the lack of response continues for a total of 45 calendar days, the Engagement will be deemed abandoned by you, and no refund will be applicable.
Cancellation & Refund Policy
1. Our Refund Philosophy
We are committed to fairness and transparency. Our goal is to provide exceptional service, but we understand that circumstances can change. This policy is designed to be clear and fair to both you, our client, and us, acknowledging the operational costs and non-recoverable government fees involved in our services.
2. Cooling-Off Period (Full Refund)
You are eligible for a full refund if you cancel your request within 48 hours of payment, provided that work has not commenced as defined in Section 6.2.
3. Non-Refundable Components
Please note that the following fees and charges are non-refundable under any circumstances once they have been paid on your behalf:
- All Government Fees (e.g., MCA fees, Trademark application fees, Stamp Duty).
- Costs for third-party consumables (e.g., Digital Signature Certificate (DSC), Notarisation charges).
- Payment gateway transaction charges (typically 1-3% of the transaction value).
4. Pro-Rata / Partial Refunds (After Work Commences)
If you wish to cancel after the 48-hour cooling-off period or after work has commenced, a partial refund may be considered. The refund amount will be calculated on a pro-rata basis as follows:
Refund Amount = Total Amount Paid - (A + B)
Where:
- A = All non-refundable costs already incurred (as per Section 3).
- B = A service fee for the work already completed, calculated based on the man-hours spent and the standard rate for that service component.
Example: You paid ₹10,000 for a service. You cancel after we purchased a DSC (cost ₹2,500) and spent 2 hours on initial consultation and drafting (valued at ₹2,000). Your refund would be: ₹10,000 - (₹2,500 + ₹2,000) = ₹5,500.
5. How to Request a Refund
- Email Request: Send an email to support@registerkaro.in with the subject line "Refund Request – [Your Registered Phone Number]".
- Provide Details: In your email, clearly state the reason for the refund, and provide your registered email and phone number for verification.
- Acknowledgement & Decision: We will acknowledge your request within 1 Working Day. A final decision will be communicated within 3 Working Days of receiving all necessary information.
- Processing: Approved refunds will be processed to the original mode of payment within 3-5 Working Days from the date of the decision.
6. Service Deficiency or Quality Issues
If you are dissatisfied with our service quality, please email us at support@registerkaro.in within 7 days of the service delivery or the point of concern. Describe the issue in detail. We pledge to investigate the matter in good faith and, at our discretion, may offer corrective action, re-work at no extra cost, or a partial/full refund, in line with our consumer protection obligations.
7. When Cancellation & Refunds Are Not Possible
- After the final submission of your application/documents to a government authority (e.g., once a company incorporation form is uploaded to the MCA).
- For time-sensitive or expedited services that have been initiated.
- For services offered under special promotions or bundles that were explicitly marked as "non-refundable" at the time of purchase.
8. Escalation
If you are not satisfied with the resolution provided by our support team, you can escalate the matter by writing to our Grievance Officer at grievance@registerkaro.in. A senior member of our team will review your case and respond within 5 Working Days.
Privacy Policy
RegisterKaro is committed to protecting your privacy in compliance with India's Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023 (DPDP Act).
1. Data We Collect
- Identity & Contact Data: Name, PAN, Aadhaar details, DIN, address, email, phone number.
- Service Data: Documents and information required for delivering the services you request.
- Transactional Data: Details of services purchased, payment information, and invoices.
- Technical & Usage Data: IP address, browser type, device information, and how you navigate our Website.
2. Purpose and Legal Basis for Processing Data
We process your data to perform our contract with you, comply with legal obligations, for our legitimate interests (like improving our service), and with your consent for marketing communications.
3. Data Sharing and Disclosure
We only share your data when necessary with Professionals (CA/CS/Lawyers), Government Authorities, and essential technology service providers. We do not sell your personal data to third parties.
4. Data Security
We implement robust technical and organisational security measures, including encryption and access controls, to protect your data from unauthorized access, alteration, or disclosure.
5. Data Retention
We retain your personal data only for as long as necessary to fulfill the purposes for which it was collected or as required by Indian law.
6. Your Rights

General Legal Clauses
1. Intellectual Property
All content, branding, and technology on the Website are the exclusive property of Safe Ledger Private Limited.
2. Limitation of Liability
To the maximum extent permitted by law, RegisterKaro's total liability in connection with any Engagement shall not exceed the professional fees paid by you for that specific Engagement.
3. Indemnity
You agree to indemnify and hold RegisterKaro harmless from any claims, losses, or damages arising from your breach of these Terms, your violation of any law, or your provision of incorrect information.
4. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India. Subject to the dispute resolution clause, the courts in Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes.
5. Dispute Resolution
The parties shall first attempt to resolve any dispute amicably. If the dispute is not resolved within 30 days, it shall be referred to and finally resolved by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Gurgaon.
