Why and How to Change an LLP Agreement: An Overview

An LLP Agreement sets out the rights and duties of the partners and the LLP, along with agreed terms on contribution, profit sharing, management, and other matters. It is first executed and filed at the time of LLP registration, and can be amended later as the partners' arrangements change. Section 23 of the Limited Liability Partnership Act, 2008, governs the agreement and requires changes to be filed with the Registrar in the prescribed manner. For amendments to an existing agreement, the LLP generally files LLP Form 3 within 30 days of the change.

To change an LLP Agreement, the partners must first approve the proposed amendment according to the existing agreement, prepare and execute the amended or supplementary agreement, and file LLP Form 3 with the Registrar. MCA requires Form 3 to report changes in the LLP Agreement within 30 days of the modification.

Partners may amend the agreement when they change business activities, partner details, capital contribution, profit-sharing arrangements, or other agreed terms. Depending on the amendment, the LLP may also need to complete linked MCA filings. This guide explains the applicable legal provisions, documents, amendment procedure, related forms, stamp duty, and additional fees for delayed Form 3 filing.

Common Reasons for Making Changes in the LLP Agreement

An LLP may need to amend its LLP Agreement when the terms governing its partners, business activities, contribution, profit sharing, or other agreed arrangements change. MCA classifies changes to an LLP Agreement under business activities, partner changes, contribution or profit-sharing changes, and other reasons.

Common reasons for changing an LLP Agreement include:

  • Change in business activities: When the LLP changes or expands the business activities covered by its agreement, the relevant provisions should be amended to reflect the revised activities.
  • Addition or removal of a partner: When a partner joins or leaves the LLP, the agreement may need to be updated to reflect the revised partner structure, contribution, rights, and profit-sharing arrangements. Addition or deletion of a partner or designated partner also requires the applicable linked filing in Form 4.
  • Change in capital contribution: Partners may increase, reduce, or otherwise change their agreed contribution. The LLP Agreement should record the revised contribution terms.
  • Change in profit-sharing ratio: Partners may agree to change the percentage in which they share the LLP's profits. The amended ratio should be recorded in the LLP Agreement and reported through Form 3.
  • Change in partners' rights and responsibilities: Partners may revise their agreed roles, management responsibilities, decision-making powers, or other mutual rights and duties. Section 23 makes the LLP Agreement the basis for governing these relationships.
  • Change in other agreed terms: An LLP may amend other provisions of its agreement when the partners decide to revise terms governing matters such as admission of partners, dispute resolution, remuneration, or other internal arrangements.
  • Change in the LLP's name: If a change in business activities also requires a change in the LLP's name, the name change requires the applicable MCA filing through Form 5, linked with Form 3.

Various Clauses of LLP Agreement

An LLP Agreement records the terms that govern the LLP and its partners. Partners can include clauses covering contributions, profit sharing, management, partner rights, dispute resolution, and other agreed matters.

ClauseWhat It Covers
Basic DetailsLLP name, registered office, partners, and business activities.
Capital and Profit SharingPartner contributions and the agreed ratio for sharing profits and losses.
Partner Rights and DutiesRoles, responsibilities, management powers, voting rights, and decision-making.
Admission and Exit of PartnersTerms for admitting, retiring, resigning, or removing a partner.
Dispute ResolutionThe process for resolving disputes between partners or between a partner and the LLP.
Remuneration and InterestPartner remuneration, interest on contribution, or other agreed payments.
Business and BorrowingBusiness activities, borrowing powers, and restrictions applicable to partners or the LLP.
Indemnity and LiabilityThe circumstances in which the LLP or its partners provide indemnity for specified acts or liabilities.
Amendment and Other TermsThe procedure for changing the LLP Agreement and other terms agreed by the partners.
Dissolution and Winding Up of LLPTerms governing the LLP's closure and settlement of its affairs, where included in the agreement.

The partners should draft these clauses according to the LLP's actual arrangements. If the agreement does not address a matter covered by the First Schedule, the statutory default provisions apply.

For a detailed clauses breakdown and drafting help, see our LLP Agreement guide.

List of Documents Required to Change an LLP Agreement

If you want to make changes to an existing LLP agreement, you will need to prepare and submit the following documents:

Documents to Submit with Form 3

These documents are required to update the LLP agreement officially:

  • Original LLP Agreement: The existing agreement that was filed earlier.
  • Revised LLP Agreement: The updated version of the agreement that shows the proposed changes.
  • Supplementary Deed: A separate document that highlights the specific changes made to the original agreement.
  • Partner Resolution: A copy of the resolution passed by the partners during a meeting, approving the change.

Documents to Submit with Form 4

If the LLP Agreement amendment involves the appointment, cessation, or change in particulars of a partner or designated partner, the LLP may need to file Form 4 along with Form 3. The required attachment depends on the type of change:

  • Appointment: Signed consent of the person agreeing to become a partner or designated partner.
  • Cessation: Evidence of cessation of the partner or designated partner.
  • Body Corporate Partner: Resolution of the body corporate approving its appointment as a partner and the nomination of its nominee or designated partner, where applicable.

Documents to Submit with Form 5

If the amendment also involves an LLP name change, the LLP must file Form 5 with the applicable supporting documents:

  • Partner Consent: Consent of all partners when the name change is based on their consent.
  • Minutes or Resolution: Copy of the minutes, resolution, or partner consent when the LLP follows the procedure specified in its LLP Agreement.
  • Government or Registrar Direction: Copy of the direction received from the Central Government or Registrar, where applicable.
  • Other Supporting Documents: Any additional document required for the specific name-change application.

Step-by-Step Procedure for Amending an LLP Agreement

The amendment process generally involves approving the proposed change, preparing and executing the revised agreement, and filing LLP Form 3 with the MCA. The LLP must complete the Form 3 filing within 30 days of the change.

The following are the steps involved in amending an LLP Agreement:

Step 1: Review the LLP Agreement and Approve the Change

Review the existing LLP Agreement to identify the clause that requires amendment and the approval procedure specified in the agreement. The partners should approve the proposed change and record the decision through the applicable resolution, consent, or minutes.

The approval should clearly state the proposed changes and their effective date.

Step 2: Prepare the Amended or Supplementary LLP Agreement

Prepare an amended or supplementary LLP Agreement that reflects the approved changes. Clearly identify the LLP, the provisions being changed, and the revised terms.

The agreement may record changes to business activities, partner details, contribution, profit-sharing percentages, or other agreed terms. MCA requires the initial or supplementary/amended LLP Agreement containing the changes to be attached to Form 3.

Step 3: Execute the Agreement and Pay Stamp Duty

Execute the amended or supplementary LLP Agreement according to the applicable State stamp laws. Stamp duty varies by state and may depend on the nature of the instrument and the amount involved. For example, states such as Maharashtra prescribe stamp duties under their respective stamp laws, so the LLP should check the applicable state schedule before executing the agreement.

The designated partner in the LLP should ensure that all required parties sign the agreement using the applicable stamping method before filing Form 3.

Step 4: File LLP Form 3 with the MCA

File LLP Form 3 with the Registrar through the MCA portal to report the change in the LLP Agreement. Select the option for filing information regarding changes in the LLP Agreement.

MCA requires Form 3 under Purpose 2 to be filed within 30 days of the change in the LLP Agreement.

Step 5: Enter the Details of the Amendment

Enter the LLP identification details and the date of modification in the LLP Agreement. Select the applicable reason for the change.

MCA provides the following Form 3 categories:

  • Change in business activities
  • Change in partner(s)
  • Change in partner contribution and percentage of profit sharing
  • Change due to other reasons

Enter the revised details and ensure that they match the executed LLP Agreement.

Step 6: Attach the Required Documents

Attach the initial LLP Agreement or supplementary/amended LLP Agreement containing the changes. Add any other document required for the specific amendment.

For example, a change involving the addition or deletion of a partner or designated partner requires a linked Form 4 filing. If a change in business activities also requires an LLP name change, Form 5 may be linked with Form 3.

Step 7: Digitally Sign and Certify Form 3

A designated partner must digitally sign LLP Form 3. The person signing the form must be different from the person in whose respect the form is being filed. A practicing Chartered Accountant, Cost Accountant, or Company Secretary must also digitally certify the form, as prescribed by MCA.

The Form 3 filing fee depends on the LLP's total contribution; see the Form 3 Filing Fee section below.

Step 8: Submit the Form and Keep the Filing Record

Submit Form 3 on the MCA portal after completing the required details, attachments, signatures, certification, and applicable fee payment. Keep the SRN, filed Form 3, amended or supplementary LLP Agreement, and payment acknowledgment with the LLP's records.

If the amendment requires Form 4 or Form 5, complete the linked filing according to the applicable MCA requirements.

The amendment process may take time for drafting and stamping, but Form 3 must be filed within 30 days of the change.

Forms That May Be Filed Along With Form 3

The additional MCA forms required with Form 3 depend on the type of change made to the LLP Agreement. Common linked filings include:

  • Form 4: Required when the amendment also involves the appointment, cessation, or change in particulars of a partner or designated partner. Under Section 25(2) of the LLP Act, 2008, the LLP must file the required notice with the Registrar within 30 days of the change.
  • Form 5: Required when the LLP Agreement amendment involves a change in the LLP's name. The proposed name must be reserved through the MCA process before completing the applicable name-change filing.
  • Form 15: Required when the change involves shifting the LLP's registered office. It records the new registered office address and requires supporting documents, including proof of the changed address and the partners' decision or the relevant LLP Agreement provision.

Form 3 Filing Fee

The normal Form 3 fee depends on the LLP's total contribution:

LLP ContributionNormal Form 3 Fee
Up to ₹1 lakh₹50
More than ₹1 lakh to ₹5 lakh₹100
More than ₹5 lakh to ₹10 lakh₹150
More than ₹10 lakh to ₹25 lakh₹200
More than ₹25 lakh to ₹1 crore₹400
More than ₹1 crore₹600

MCA specifies these contribution-based filing fees in the Form 3 Instruction Kit. A delayed filing also attracts the applicable additional fee based on the period of delay.

Penalty for Late Filing of LLP Form 3

An LLP must file Form 3 within 30 days of changing its LLP Agreement. A delayed filing attracts an additional fee based on the period of delay and the normal Form 3 filing fee. The additional fee increases as the delay period increases.

The exact amount depends on the LLP's contribution and the length of the delay. There is no single fixed late fee for Form 3. For the applicable normal and additional filing fees, refer to our detailed Form 3 LLP guide.

Supplementary LLP Agreement Format

A Supplementary LLP Agreement is a legal document used to record any changes or modifications made to the original LLP Agreement. This could include changes such as the addition/removal of partners, changes in capital contribution, profit-sharing ratio, business activities, or any other key clauses. It must be drafted carefully and filed with the MCA by submitting Form 3 within 30 days of such a change.

Below is a standard format for a Supplementary LLP Agreement:

Frequently Asked Questions (FAQs)

How can an LLP Agreement be changed?

You can change an LLP Agreement by obtaining partner approval, preparing the amended agreement, and executing it properly. The LLP must then file LLP Form 3 with the Registrar within 30 days of the change. Additional MCA forms may apply when the amendment also changes partner details, the LLP name, or the registered office.

Which form is required to change an LLP Agreement?

LLP Form 3 is the primary MCA form for reporting changes to an existing LLP Agreement. The form records amendments relating to business activities, partners, contribution, profit-sharing percentage, or other agreed terms. Depending on the amendment, the LLP may also need to complete linked filings such as Form 4 or Form 5.

What is the time limit for filing Form 3 after changing an LLP Agreement?

An LLP must generally file Form 3 within 30 days from the date of change in its LLP Agreement. MCA calculates the filing period from the modification date entered in Form 3. A delayed filing attracts additional fees according to the applicable delay period and LLP category.

Is a supplementary LLP Agreement required when making changes?

A supplementary or amended LLP Agreement records the revised terms agreed upon by the partners. The document should clearly identify the changed provisions and contain the updated terms. MCA requires the initial or supplementary/amended agreement containing the changes to accompany Form 3 when reporting an amendment.

Can partners change the profit-sharing ratio in an LLP Agreement?

Yes, partners can change the agreed profit-sharing ratio by amending the LLP Agreement according to its applicable approval provisions. The revised percentage should appear clearly in the executed agreement and must be reported through Form 3. The LLP should ensure that its accounting records reflect the revised arrangement.

Does adding or removing a partner require an LLP Agreement amendment?

Adding or removing a partner generally requires corresponding changes to the LLP Agreement when the agreement records partner details or related terms. The LLP must also file Form 4 for applicable appointments, cessations, or changes involving partners or designated partners. Form 3 may accompany the partner-related filing when the agreement changes.

Can an LLP change its business activities through an amended agreement?

Yes, an LLP can amend its agreement to reflect changes in its business activities, subject to applicable legal requirements. The LLP must report the amendment through Form 3 by selecting the relevant business-activity change. MCA may process such filings differently from other Form 3 amendments when business activities change.

Does changing the LLP registered office require Form 3?

Changing the registered office requires LLP Form 15, while Form 3 applies when the corresponding LLP Agreement also needs amendment. The LLP should review its agreement before changing the address. If the registered office appears in an agreement clause requiring modification, the LLP must report that amendment through Form 3.

Does an LLP need to pay stamp duty on an amended agreement?

Yes, an LLP must comply with the stamp duty requirements applicable to the state and instrument used for its amended or supplementary agreement. Stamp duty rates and applicable stamping methods vary between states. The LLP should complete the required stamping before filing the amended agreement with the MCA.

How long does it take to change an LLP Agreement?

The LLP must file Form 3 within 30 days of the change. The time depends on agreement drafting, stamping, MCA filing, and any linked Form 4 or Form 5 filing.

Can the LLP Agreement be changed if one partner does not agree?

An LLP can amend its Agreement only according to the approval requirements stated in the existing Agreement and applicable law. If the required consent is not obtained, the LLP may not be able to implement the proposed amendment.

What happens if MCA raises a resubmission or query?

If MCA marks Form 3 for resubmission, the LLP must correct the issues identified by MCA and resubmit the form with the required documents. The LLP must complete the resubmission within 30 days from the date MCA marks the application as “Resubmission Required.”
