The entire registration process of an OPC is conducted online through the MCA portal. It is streamlined and efficient, especially with the introduction of the SPICe+ form. Here is a step-by-step breakdown of the process.
Step 1: Obtaining DSC and DIN
The very first step is to get a Digital Signature Certificate (DSC) for the proposed director. Since all the forms for company registration are filed electronically on the MCA portal, a Class 3 DSC is mandatory for digital signatures.
Next, you need a Director Identification Number (DIN). The DIN is a unique number assigned by the MCA to every individual who wants to be a director of a company. You don't have to apply for it separately anymore. The SPICe+ Form includes a section where you can apply for the DIN at the same time as you apply for incorporation.
Step 2: Getting a Name Approved
Choosing a name for your business is an exciting step. You need to come up with a unique name that is not already taken by another company or trademark.

You can apply for name reservation through Part A of the SPICe+ form. You can also provide up to two proposed names, and one resubmission is allowed. If the name is approved, it will be reserved for 20 days. During this period, you must complete the rest of the incorporation process.
Step 3: Drafting MOA and AOA
These are the most important legal documents for your company.
- The Memorandum of Association (MOA) outlines the company's main objectives, its name, capital, and the state where its registered office is located. It defines the company’s relationship with the outside world.
- The Articles of Association (AOA) contain the company's internal rules and regulations. It governs how the company will be managed and run, covering things like the powers of the director and the rights of the member.
You will now file both the MOA and AOA electronically using SPICe-MOA (INC-33) and SPICe-AOA (INC-34), which are linked to the main SPICe+ form.
Step 4: Filing for Incorporation
This is the main part of the process. You will file Part B of the SPICe+ form, along with all the required attachments. This single form combines several applications, making the process much faster. These applications include:
You will attach all the necessary documents, including the drafted MOA, AOA, and the consent of the nominee. The forms must be digitally signed by the proposed director and a professional, such as a Chartered Accountant (CA) or Company Secretary (CS).
Step 5: Receiving the Certificate of Incorporation
After you file all the forms, the ROC in Gwalior will review the application. If everything is in order and all documents are correct, the ROC will approve your application.
Once approved, the system will send you the Certificate of Incorporation (COI) via email. This is the official document that proves your company is legally registered. The system will generate the company's PAN and TAN automatically and include them in the COI.
At this point, your One Person Company is officially born!
