What is a One Person Company (OPC)?

A One Person Company (OPC) is a type of company that a single individual can own and manage. The Companies Act, 2013, introduced the OPC concept in India to encourage sole entrepreneurs and micro-businesses to enter the formal business sector. An OPC has all the characteristics of a private limited company, including limited liability and a separate legal identity. Essentially, it allows an individual to create a corporate entity, shielding their personal assets from business liabilities.

For example, if your OPC takes on debt and the business fails, creditors can only claim the company's assets, not your personal property, such as your house or car. This separation of personal and business finances is a significant advantage over a sole proprietorship company.

Why Register an OPC in Maharashtra?

Maharashtra, a powerhouse of economic activity, offers an exceptional environment for registering and growing your business. Choosing to register your OPC in Maharashtra places you at the heart of India's commercial hub.

The state's vibrant startup ecosystem is a major draw. According to a report, Maharashtra-based tech companies raised ₹11,634 crore ($1.4 billion) in the first half of 2025, an 8% increase from the previous half. This demonstrates a stable and growing investment climate.

The state cabinet also recently approved the Maharashtra Startup, Entrepreneurship, and Innovation Policy 2025, aiming to create 50,000 startups in the next five years. With 29,146 startups, Maharashtra already leads the country, accounting for 18% of the total number of startups in India.

  • Unique Business Opportunities in Maharashtra

Maharashtra offers a vibrant ecosystem for new businesses. For instance, Mumbai's financial services and Pune's automotive sector provide unique opportunities for entrepreneurs. Additionally, Mumbai’s startup ecosystem ranks among the global top 20, holding the 18th position in the StartupBlink Ecosystem Index. The Mumbai ecosystem has climbed two spots in the most recent rankings, with a remarkable annual growth rate of +31.5% between April 2024 and April 2025.

  • Specific Compliance Considerations in Maharashtra

While central government rules apply, understanding local administrative practices and the business environment can be helpful. Local regulations like the Shops and Establishments Act, professional tax, and other state-specific labor laws require compliance.

We can guide you on any specific regional considerations that might be relevant for your OPC Registration in Maharashtra.

  • Connect with Local Business Networks

Registering an OPC in Maharashtra opens the door to a thriving business ecosystem. One of the best ways to tap into this is by attending local events, exhibitions, and trade fairs. These platforms provide valuable opportunities to:

    • Showcase your products or services to potential clients, investors, and partners.
    • Network with industry leaders, government officials, and fellow entrepreneurs.
    • Stay updated on market trends, regulatory changes, and innovations in your sector.
    • Build brand visibility in high-traffic locations like Mumbai’s Jio World Convention Centre or Pune’s Hyatt Regency.

Events likeMaharashtra Startup Week, India International Mega Trade Fair (Mumbai), and Growth Expo Pune offer startup zones, pitch sessions, and B2B matchmaking opportunities. These gatherings are perfect for OPCs looking to scale, validate their business models, or explore strategic partnerships.

Benefits of Registering an OPC in Maharashtra

An OPC Registration in Maharashtra provides several key advantages that make it an attractive option for solo entrepreneurs.

  • Limited Liability for Your Business

The most significant benefit of an OPC is the limited liability it provides. The company's assets and liabilities are distinct from your personal assets. This means if the company faces financial difficulties, your personal assets, such as your home or savings, remain protected.

  • Easy to Manage and Operate

An OPC requires fewer compliance formalities compared to a private limited company. It needs only one director and a single shareholder, simplifying the decision-making process. You don't need to hold annual general meetings or board meetings, which saves time and effort.

  • Enhanced Business Credibility

A registered OPC is a legal entity recognized by the Ministry of Corporate Affairs (MCA). This formal structure increases your business's credibility with customers, suppliers, and financial institutions. It makes your business appear more professional and trustworthy.

  • Access to Funding and Loans

Banks and financial institutions often prefer to lend to registered companies over sole proprietorships. An OPC's separate legal status and transparent financial records make it easier to secure business loans and credit facilities, paving the way for future growth.

  • Perpetual Succession (with a Nominee)

An OPC has perpetual succession, meaning it continues to exist even if the sole owner dies or becomes incapacitated. The law requires you to appoint a nominee who will take over the company in such an event. This ensures the business's continuity and protects your legacy.

Eligibility for OPC Company Registration in Maharashtra

Before you begin the OPC Registration process in Maharashtra, you must meet specific eligibility criteria:

  • Natural Person and Indian Citizen: Only a natural person who is an Indian citizen and a resident of India can incorporate an OPC. A "resident of India" is someone who has stayed in India for at least 120 days during the preceding financial year.
  • One Director: The sole member must also be the company's director.
  • One Nominee: You must appoint a nominee at the time of incorporation. The nominee must also be a natural person, an Indian citizen, and a resident of India. The nominee must provide their written consent (Form INC-3) to be appointed.
  • No Other OPCs: A person can only incorporate one OPC. They cannot be a member or a nominee in more than one OPC.
  • Minor Not Allowed: A minor cannot become a member or a nominee of an OPC.
  • No Section 8 Companies: An OPC cannot be incorporated or converted into a Section 8 company (a company established for charitable purposes).
  • Authorized Capital: There is no minimum authorized capital requirement for an OPC. Previously, there were limits on the company’s paid-up share capital (₹50 lakh) and average annual turnover (₹2 crore).

However, following the Companies (Incorporation) Second Amendment Rules, 2021, these limits have been removed. Now, OPCs can freely grow without the need for mandatory conversion into a private or public limited company, regardless of their capital or turnover.

How to Register an OPC in Maharashtra?

The process of registering an OPC in Maharashtra is streamlined and can be completed through the MCA's SPICe+ (Simplified Proforma for Incorporating Company electronically) platform.

Step 1: Obtaining DSC and DIN

First, you must obtain a Digital Signature Certificate (DSC) for the proposed director. A DSC is a secure digital key that certifies the identity of the holder, similar to a physical signature, and is essential for electronically signing documents.

You must then apply for a Director Identification Number (DIN), a unique identification number assigned by the MCA to every individual who intends to be a director of a company. You can apply for the DIN simultaneously with the incorporation form.

Step 2: Getting Name Approval

You must choose a unique name for your company. You can use our free tool to check the availability of your company name and ensure it ends with “(OPC) Private Limited.” You can propose up to two names in Part A of the SPICe+ form.

The MCA will check for name availability and approve one that is not identical or too similar to any existing company or trademark.

Step 3: Drafting MOA and AOA

Next, you must draft the Memorandum of Association (MOA) and the Articles of Association (AOA).

The MOA defines the company's core objectives and scope, outlining its business activities. The AOA contains the internal rules and regulations for the company's management and operations.

You must also include a nominee clause in the MOA and AOA.

Step 4: Filing for Incorporation

After completing the previous steps, you must fill out Part B of the SPICe+ form, attaching all required documents, including:

  • The MOA and AOA.
  • Identity and address proofs of the director and the nominee.
  • A declaration from the director and nominee.
  • The nominee's consent in Form INC-3.
  • Proof of the registered office address.

You must also file the e-MOA (Form INC-33) and e-AOA (Form INC-34) along with the SPICe+ form.

Step 5: Receiving the COI

Once you submit all the documents, the Registrar of Companies (ROC) in Maharashtra will verify them. If everything is in order, the ROC will issue a Certificate of Incorporation (COI).

This certificate is a legal document that officially registers your company, and it includes your Corporate Identity Number (CIN). The PAN and TAN for the company are automatically generated and issued along with the COI.

Documents Required for OPC Registration in Maharashtra

You will need to gather several documents for a smooth OPC Registration in Maharashtra.

For the Registered Office

  • Ownership Proof: If the property is owned, you must provide the ownership deed or a relevant property document.

OPC Registration Fees in Maharashtra

The total cost for OPC Registration in Maharashtra includes several components. Understanding these costs helps you budget effectively.

  • Government Filing Fees: The government fees depend on the company's authorized capital. For an authorized capital of up to ₹1 lakh, the fees are approximately ₹1,000. As the authorized capital increases, the fee also rises. The government fee structure is subject to change. Stamp duty charges are approximately ₹3,000 and go up to ₹ 6000, depending on the authorized capital and ROC charges.
  • Digital Signature Certificate (DSC): A DSC for the director typically costs between ₹1,000 and ₹2,000.
  • Director Identification Number (DIN): Each director must obtain a Director Identification Number (DIN), which costs ₹500 per DIN.
  • Professional Fees: Many entrepreneurs choose to hire a consultant or service provider to handle the documentation and filing process. These professional fees for an OPC Registration consultant in Maharashtra can range from ₹5,000 to ₹7,000 or more, depending on the services and the complexity of the case.
