  • No Other OPCs: A person can only incorporate one OPC. They cannot be a member or a nominee in more than one OPC.
  • Minor Not Allowed: A minor cannot become a member or a nominee of an OPC.
  • No Section 8 Companies: An OPC cannot be incorporated or converted into a Section 8 company (a company established for charitable purposes).
  • Authorized Capital: There is no minimum authorized capital requirement for an OPC. Previously, there were limits on the company’s paid-up share capital (₹50 lakh) and average annual turnover (₹2 crore).

However, following the Companies (Incorporation) Second Amendment Rules, 2021, these limits have been removed. Now, OPCs can freely grow without the need for mandatory conversion into a private or public limited company, regardless of their capital or turnover.

How to Register an OPC in Maharashtra?

The process of registering an OPC in Maharashtra is streamlined and can be completed through the MCA's SPICe+ (Simplified Proforma for Incorporating Company electronically) platform.

Step 1: Obtaining DSC and DIN

First, you must obtain a Digital Signature Certificate (DSC) for the proposed director. A DSC is a secure digital key that certifies the identity of the holder, similar to a physical signature, and is essential for electronically signing documents.

  • The nominee's consent in Form INC-3.
  • Proof of the registered office address.

You must also file the e-MOA (Form INC-33) and e-AOA (Form INC-34) along with the SPICe+ form.

Step 5: Receiving the COI

Once you submit all the documents, the Registrar of Companies (ROC) in Maharashtra will verify them. If everything is in order, the ROC will issue a Certificate of Incorporation (COI).
