Starting an LLP can be easier if you know the right steps to follow. Here is the step-by-step guide for you to register your LLP in Hubli-Dharwad.
Step 1: Obtain Digital Signature Certificate (DSC) for All Partners
Since all LLP registration forms are filed online through the MCA portal, every partner must obtain a DSC.
- Each designated partner must obtain a Class 3 DSC.
- DSC ensures safe and authentic digital signatures.
- DSC can be obtained from licensed Certifying Authorities such as e-Mudhra, Sify Safescrypt, or NSDL e‑Governance Infrastructure Ltd.
Step 2: Apply for Director Identification Number (DIN)
To be legally recognised, every partner must have a DIN number.
- You can apply for a DPIN for up to 2 partners instantly while filing the FiLLiP form.
- You have to file Form DIR-3 separately if you have more than 2 partners.
Step 3: Get Name Approval Using RUN-LLP Service
You can propose a unique name for your LLP using the RUN-LLP application on the MCA portal. Your name must:
- Not too identical to other LLPs or companies
- Avoid Trademarks
- End with the suffix “LLP”.
You can submit up to 2 names per application to improve the chances of approval.
Tip: Use RegisterKaro’s free company name search tool before filing to avoid name rejections.
Step 4: Filing for Incorporation (FiLLiP Form)
Submit the FiLLiP form on the MCA portal along with the following required documents:
- Identity and address proof of all partners
- Registered office address proof (plus utility bill within last 2 months)
- No Objection Certificate (NOC) from the property owner (if the office is rented)
- Consent of partners
Pay incorporation fees depending on the capital contribution declared.
Step 5: Drafting and Filing the LLP Agreement
This is the most important document of the LLP. It defines:
- Rights and responsibilities of partners
- Capital contribution and profit-sharing ratio
- Rules for decision-making, dispute resolution, and partner exit
The LLP Agreement must be executed on stamp paper and filed in Form LLP-3 within 30 days of incorporation to avoid penalties.
Step 6: Obtaining Certificate of Incorporation (COI)
After the Registrar of Companies (ROC) approves the FiLLiP form, the Certificate of Incorporation (COI) will be issued. This confirms the legal presence of your LLP in Hubli-Dharwad.
Step 7: Applying for PAN and TAN
The LLP must obtain the following documents to be tax-ready:
- PAN (Permanent Account Number) for taxation
- TAN (Tax Deduction Account Number) if the LLP will deduct TDS
The Income Tax department issues these, and they are necessary for opening bank accounts and handling legal compliance.
