The LLP registration process in Coimbatore is conducted online through the MCA portal. While it can seem complex, it is a systematic process that becomes straightforward with professional help from an LLP registration consultant.
Here is a step-by-step guide to the process:
Step 1: Obtain a DSC
Since all forms for LLP registration are filed online, they must be digitally signed. All proposed designated partners must first obtain a Digital Signature Certificate (DSC) from a government-approved Certifying Authority.
Step 2: Apply for a DPIN
After obtaining your DSC, each partner requires a unique identification number, known as a DPIN. You can apply for this number using the integrated incorporation form, FiLLiP, which simplifies the process.
Step 3: Reserve a Unique Name for Your LLP
Next, you must choose a name for your LLP that is unique and not already in use. You do this by filing the RUN-LLP (Reserve Unique Name – LLP) form on the MCA portal. It is always a good idea to check for name availability on the MCA website beforehand to increase your chances of getting approval.
For added convenience, you can also use our free company name availability tool to quickly check whether your desired LLP name is available, saving you time and helping you avoid unnecessary rejections.
Step 4: File the Incorporation Form (FiLLiP)
Once the name is approved, you are ready to file the main application form, FiLLiP (Form for incorporation of Limited Liability Partnership). This form contains all the details of your LLP, its partners, and the registered office address. You submit this form to the ROC, Chennai.
Step 5: File the LLP Agreement
This is a critical post-incorporation step. You must draft the LLP agreement, which outlines the rights and duties of all partners, and get it notarized. This agreement must be filed in Form 3 with the MCA within 30 days of your LLP's incorporation to avoid significant penalties.
Step 6: Receive the COI
After the ROC verifies all the forms and documents, it will issue the Certificate of Incorporation (COI). This is a digital document that officially confirms your LLP’s legal existence.
Step 7: Get PAN and TAN for Your LLP
The FiLLiP form has an integrated option to apply for the LLP's Permanent Account Number (PAN) and Tax Deduction and Collection Account Number (TAN). Selecting this option ensures that your PAN and TAN are generated along with your COI, making the process faster.
